Background

Rebecca works closely with business owners, private groups and their advisers, often in time-sensitive environments where commercial outcomes are front of mind. She is known for her responsive and pragmatic approach, supporting clients through complex transactions, restructures and disputes with a clear focus on achieving practical, commercially viable outcomes.

She advises on a broad range of taxation matters with a particular focus on income tax, indirect taxes and structuring and succession planning, including business and investment structuring, group reorganisations and international tax.

Experience

Rebecca advises clients across a broad range of Federal and State taxation matters, including income tax, capital gains tax, indirect taxes (GST and duties), payroll tax, wine equalisation tax, and excise. She has particular expertise in employee share schemes and international tax, including treaty interpretation and withholding tax obligations. Rebecca also has experience advising not-for-profit organisations on taxation and governance matters.

Her practice includes advising on taxation disputes and controversies, including managing audits and investigations, and engaging with revenue authorities.

Rebecca’s key areas of experience include:

  • Mergers and acquisitions: Advising on the tax implications of complex acquisitions and disposals, including structuring transactions involving shares and business assets, and addressing GST and stamp duty considerations across multi-jurisdictional transactions.
  • Trusts: Providing advice with respect to trust taxation, and entitlement issues.
  • Employee share schemes and equity arrangements: Structuring and implementing employee equity plans, including managing tax outcomes for different classes of participants, rollover relief, and the tax implications of restructures and buy-backs.
  • Corporate structuring and reorganisations: Advising corporate groups and private clients on tax-efficient structuring, group reorganisations, CGT rollovers and asset transfers.
  • Banking and finance transactions: Advising lenders and borrowers on the tax aspects of financing arrangements, including debt funding, and cross-border financing considerations.
  • International tax: Advising on cross-border transactions and investments, including treaty interpretation, withholding tax, permanent establishment risk, and global structuring considerations.
  • Private clients and high-net-worth individuals: Advising on business and investment structuring, succession planning, and tax-efficient ownership arrangements.
  • Indirect taxes and state taxes: Advising on GST, stamp duty and payroll tax issues, including in complex commercial arrangements and large organisational structures.
  • Industry-specific advice: Providing tailored taxation advice across sectors, including financial services, healthcare, and asset leasing (including aviation and shipping).
